Terms of Use

1. Agreement

These Terms of Use (“Terms”) govern your access to dirghayu.ai and related informational pages (the “ Site”). By using the Site, you agree to these Terms and our Privacy Policy.

The Dirghayu platform (mobile and web applications, APIs, and services where you authenticate)—the “ Platform”—is governed by these Terms together with any registration, enterprise, or subscription agreement you accept when you create an account or join an organization on the Platform. If a conflict arises, the more specific agreement for the Platform prevails for Platform use.

When the public application is deployed, additional terms will be presented at sign-up and sign-in.

2. Eligibility

The Site is intended for adults or supervised minors as allowed in your jurisdiction. To use the Platform you must meet the age and capacity requirements presented during registration and comply with healthcare licensing and corporate authority rules where applicable.

3. Not medical advice

The Site and Platform are technology services. They do not replace professional medical advice, diagnosis, or treatment. Always seek a qualified health professional for clinical decisions. Emergency situations require local emergency services, not the Platform.

4. Niramaya (AI assistance)

Niramaya provides assistive features such as summarization, retrieval over approved knowledge, and workflow hints. Outputs may be incomplete or incorrect. Licensed professionals and authorized users remain responsible for clinical, pharmacy, operational, and legal decisions. Use judgment and verify important information against source records and policies.

5. Accounts and security

You must provide accurate registration information and safeguard credentials. You are responsible for activity under your account. Enable multi-factor authentication when offered. Notify support promptly if you suspect unauthorized access.

6. Acceptable use

You agree not to misuse the Site or Platform, including by:

• Violating law or third-party rights;
• Uploading malware, attacking, or probing systems without authorization;
• Scraping or automating access in a way that harms performance or competitive position, except as permitted in writing;
• Misrepresenting identity, credentials, or affiliation;
• Attempting to re-identify de-identified data without authorization;
• Using outputs from Niramaya to make unlawful, unsafe, or unethical care decisions without professional oversight.

7. Intellectual property

Dirghayu.AI, Niramaya, related branding, and Site content are owned by 9Struct or licensors. Except for limited browsing and personal copies, you may not copy, modify, distribute, or create derivative works without consent. Feedback you provide may be used without restriction.

8. Third parties

The Platform may interoperate with clinics, labs, pharmacies, and identity providers. Their terms and privacy notices apply to their services.

9. Disclaimer

THE SITE AND PLATFORM ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 9STRUCT AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE OR PLATFORM, EXCEPT WHERE LIABILITY CANNOT BE EXCLUDED BY LAW. WHERE LIABILITY IS CAPPED, OUR AGGREGATE LIABILITY FOR THE SITE SHALL NOT EXCEED THE GREATER OF CAD $100 OR THE FEES YOU PAID US FOR THE PLATFORM IN THE TWELVE MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.

11. Indemnity

You will indemnify and hold harmless 9Struct and its affiliates from claims arising out of your misuse of the Site or Platform, your content, or your breach of these Terms, except as caused by our willful misconduct.

12. Suspension and termination

We may suspend or terminate access for violations, risk, or legal requirements. You may stop using the Site at any time. Platform accounts follow the closure and data retention rules in the product and applicable law.

13. Changes

We may update these Terms and will post the new version here with an updated date. Continued use after notice constitutes acceptance where permitted by law.

14. Governing law and disputes

These Terms and any dispute, claim, or controversy arising out of or relating to the Site, the Platform, or these Terms shall be governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the courts of British Columbia, Canada.
